All visual assets, sample previews, and layout structures displayed on www.adclipflow.com consist exclusively of original works or fully licensed royalty-free material. Services delivered by adclipflow represent customized, project-based consultation and creative recommendation deliverables.
3. Payment Structure & One-Off Transaction Model
All services rendered by adclipflow are billed on a one-off, non-recurring transaction basis. There are no recurring subscriptions, automatic renewals, or hidden ongoing membership charges associated with our services. Each project brief represents a separate, distinct commercial contract.
Our standard project engagement and settlement workflow is structured as follows:
- Inquiry & Quotation: The client submits a detailed project brief via our official contact channels. adclipflow issues a clear, non-binding service quotation outlining the agreed project scope.
- Project Assessment: Direct communication is established to align project expectations, timelines, and visual structures.
- Milestone Deposit: Upon acceptance of the quotation, a formal invoice for an agreed initial deposit is issued. Work on the project commences only after the successful receipt of this initial deposit.
- Delivery & Final Balance: Upon completion of the agreed visual recommendations and campaign layouts, final preview materials are presented to the client. Full access to the final project deliverables is released upon full settlement of the remaining outstanding balance invoice.
Prices are quoted in Euros (€) and are subject to applicable value-added tax (VAT) pursuant to European tax regulations, unless reverse charge mechanisms apply for cross-border European business transactions.
4. Right of Withdrawal & Client Obligations
In accordance with applicable European consumer rights legislation regarding customized services and bespoke digital visual preparations, work commences following explicit client request and agreement upon payment of the initial deposit.
Clients are required to provide accurate, complete project requirements, assets, and brief details in a timely manner to facilitate structured service delivery. Delays resulting from missing or incomplete client inputs may adjust agreed delivery schedules accordingly.
5. Intellectual Property Rights
Upon complete settlement of all total project invoices (including both initial deposit and final balance payments), the client receives the non-exclusive right to utilize the delivered custom visual recommendations for their intended commercial advertising campaigns.
adclipflow does not claim, grant, or transfer any proprietary licenses or rights regarding third-party commercial logos, trademarks, or brand names belonging to unrelated external entities. All visual materials provided remain compliant with original content standards and standard commercial licensing boundaries.
6. Limitation of Liability and Operational Standards
adclipflow conducts all consulting and visual recommendation services with professional diligence and in accordance with applicable German and European statutory standards.
While every effort is made to deliver high-quality, practical campaign recommendations and visual layouts, adclipflow does not guarantee specific commercial returns, external ad network performance results, or monetary profits, as commercial performance depends on external market factors beyond our control.
Liability for damages arising from service engagements is strictly limited to statutory obligations under German law (Bürgerliches Gesetzbuch – BGB), excluding cases of intent or gross negligence.
7. Governing Law and Jurisdiction
These Terms of Service and all underlying service agreements are governed exclusively by the laws of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).
For commercial clients and business entities, the exclusive place of jurisdiction for all disputes arising from or in connection with contracts concluded via www.adclipflow.com shall be the competent court at the registered location of adclipflow in Germany.
